WAITMAN HELICOPTERS, INC. BUILDER ASSISTANCE CONTRACT AGREEMENT This contract is to outline the terms and conditions by which Waitman Helicopters, Inc. agrees to assist the owner of the helicopter kit in the construction of the aircraft. The helicopter kit will be delivered to Waitman Helicopters, Inc. or provisions made separately to provide the space or hanger for the construction of the kit. The owner will provide Waitman Helicopters, Inc. all parts, pieces, engine, appurtenances, prints, drawings, documents, records and accessories attached to, installed in or on, or acquired as part of the helicopter for the purpose of providing builder assistance for the construction of the aircraft. The helicopter kit to be worked on must have an N-number assigned and registered with the Federal Aviation Administration. If none has been assigned or the kit is not registered, copies of the submitted forms must be provided to Waitman Helicopters, Inc. I, the undersigned owner, agree to pay the cost of all labor, to include assistance, and or direction to any other person during the construction at the rate of $35.00 (US) dollars per hour. All labor will be billed weekly and must be paid in full within 10 days of the billing. A deposit of $350.00 will be paid to Whitman Helicopters, Inc. for the first ten hours in advance. Labor may be paid in advance if the owner chooses. All labor costs will be paid in the form of a cashier's check made out to Waitman Helicopters, Inc. All parts requiring replacement or parts which are added to the kit as an upgrade will be paid for in advance. All upgrade or replacement parts are the responsibility of the owner to provide. Waitman Helicopters will charge handling fee of no more than 20% of the cost of the part if ordered by Waitman Helicopters. This includes all parts or pieces that need to be replaces for reasons of safety, or to conform to the original specifications outlined in the plans or drawing supplied with the kit. It will be up to the owner to register the kit with RotorWay International, if parts are to be supplied by RotorWay International and/or Waitman Helicopters, Inc. The owner is responsible for the cost of delivery and shipping of the parts to Waitman Helicopters, Inc. Waitman Helicopters, Inc. agrees to provide this builder assistance in the construction of the helicopter and perform any labor in a timely manner. Waitman Helicopters, Inc. assumes no liability for the construction of the kit, parts, or workmanship of others. Each party has the option to cancel this contract with 14 days written notice. All unpaid labor will be paid with the notice. The helicopter will net be released until all debts are cleared and may be transferred to other locations for storage. The cost of transfer and storage will be the responsibility of the owner and will be applied to the overdue account. If the owner does not clear the account with in 60 days the helicopter will become the property of Waitman Helicopters, Inc. and may be sold to cover all outstanding claims. I, the undersigned owner, have read and agree to the conditions outlined in this contract and hereby state that I am the legal owner of record of this helicopter kit. I also authorize Waitman Helicopters, Inc. to assist in the construction of this kit under the terms of this contract. This contract also acts as a hold-harmless agreement for Waitman Helicopters, Inc. and all persons assisting in the construction of this helicopter kit.
